Terms of service

1. B2B-only positioning

Surfaced is a B2B platform. We contract only with businesses (Unternehmer im Sinne § 14 BGB). We do not contract with consumers (Verbraucher § 13 BGB). By using Surfaced you confirm that you are using the platform in the course of a commercial, business, or self-employed professional activity.

2. Payment Agent model

For tenants in markets where Stripe does not natively support seller accounts (currently including Aruba), OpenShark LLC acts as a disclosed payment-collection agent. The tenant remains the seller of record for the underlying activities.

OpenShark LLC's role is limited to collection of customer payments, retention of an agent fee, and remittance of the net amount to the tenant after service-delivery confirmation. The tenant is responsible for delivering the activity, providing customer support relating to the activity, and discharging any consumer-law obligations applicable in their jurisdiction.

3. Commitment and cancellation

All subscriptions have a 12-month commitment period. Cancellation takes effect at the end of the current commitment period. Tenants can cancel from the dashboard at any time during the commitment period; service continues until the end of the paid period.

Tier 3 (Run the business) is annual billing only. The €4,788 (EU) or $4,788 (Caribbean) annual fee is billed upfront at the start of the commitment period.

4. VAT and reverse charge

German tenants with a valid VAT ID — 19% VAT charged on invoice; tenant reclaims via Vorsteuerabzug.

Other EU tenants with a valid VAT ID — reverse charge applies per § 13b UStG / EU VAT Directive Art. 196. Invoice issued at 0% VAT; tenant self-assesses.

Non-EU tenants — invoice issued without EU VAT. Local tax obligations (including any reverse-charge obligations in the tenant's jurisdiction, e.g., Aruban BBO/BAVP/BAZV per the LBBO) are the tenant's responsibility.

5. Statement descriptor on customer card statements

For tenants on the Payment Agent model, customer card statements may show OpenShark LLC's account prefix combined with the tenant's identifier (e.g., OS* AKUATIKO). This identification is consistent with our role as disclosed payment agent. The tenant's legal entity name surfaces on the booking confirmation, the consumer-facing receipt, and any refund correspondence.
